Currently we are looking for Corporate Counsel who would take an ownership of corporate law and Girteka group structural changes. We would like to trust the Corporate Counsel with developing the corporate law function over the group and participation or leadership in strategic projects.
Responsibilities
- Actively participate or lead strategic projects of the Group, lead and/or manage group structural changes
- Ensure that organization is compliant with corporate laws, establish corporate compliance system and legal partners network within jurisdictions the Group is operating in
- Provide legal assistance to Finance and Treasury team on strategic financing transactions, advice on KYC and AML procedures
- Advice on the Group governance improvement
- Prepare and draft corporate decisions of management bodies as well as shareholders decisions
- Prepare Articles of Association of the Group companies, initiate changes and advice on governance system and roles
- Oversee the lifecycle of the group companies, advice colleagues on necessary decisions and timeline, incorporate or liquidate companies, support colleagues with capital changes of the companies.
- Ensure that all the corporate information of the Group companies is up to date, provide necessary extracts and documents when necessary
- Support other colleagues from business units, legal units as well as colleagues from other departments on corporate matters, help with planning and drafting necessary decisions.
Requirements
- 3-5 years of previous experience in corporate law working as in-house lawyer in large company, group of companies or law firm
- Degree in Law
- Very good project management skills and experience in project management
- Ability to understand broader business issues and problem solving attitude
- Excellent communication, stakeholder management and presentation skills
- Strong organizational skills, attention to details
- Mamp;A or tax experience (advantage)
- Ability to understand broader business issues
- Fluency in Lithuanian and English

Base monthly salary: from 3610 to 4330 (before tax). The specific salary offered will depend on the candidate‘s experience, competencies displayed and suitability to the requirements of the position.
